Club Rules
CAPITAL SOCIETY is an exclusive Private Members & Investors Club ("Club") based in 1090 Vienna (Berggasse 16), combining a digital deal-flow and networking platform with curated in-person gatherings. To ensure a trusted, discreet, and high-caliber environment for our members, investors, founders, and their guests, adherence to recognized standards of conduct and these Club Rules is mandatory. The following Club Rules form an integral part of the Terms of Access and Membership of CAPITAL SOCIETY.
1. General & Membership Model
Every member of CAPITAL SOCIETY enters into a membership agreement upon admission. Our membership model comprises verified platform access as well as tiered annual memberships ("Capitalsociety Premium / Insights", "Premium + Networking / Contacts", and "Premium + Investors"), each granting defined access privileges to deal flow, curated business contacts, verified investor profiles, private events, and the C$ AI Concierge. CAPITAL SOCIETY reserves the right to adjust membership fees and the scope of benefits of individual membership tiers from time to time.
2. Membership Application
By completing and submitting a membership application via the CAPITAL SOCIETY registration platform, you expressly agree to be bound by these Club Rules, the Terms of Access, and the Privacy Charter.
3. Invitations & Endorsements (Referrals)
Admission to CAPITAL SOCIETY is generally granted via a personal invitation code or upon recommendation by existing verified members. Members are entitled and encouraged to propose outstanding individuals—such as investors, family offices, founders, and executives—who align with the philosophy and standards of CAPITAL SOCIETY. However, an invitation code or referral does not guarantee or create a legal entitlement to (immediate) admission.
4. Admissions Committee & Review
Every membership application is reviewed and decided upon by the Admissions Committee or Club Management of CAPITAL SOCIETY ("Committee"). There is no legal entitlement to the acceptance of an application. The Committee makes its decision regarding acceptance, deferral, or rejection at its sole discretion and is not required to state reasons. The suspension or expulsion of members for good cause also rests with the Committee.
5. Waiting List & Verification Status
Depending on current membership availability, your application will be reviewed immediately (status "Pending") or placed on a waiting list. You will be notified electronically regarding the status of your application and your activation. There is no entitlement to immediate processing.
6. Term & Tier Upgrades
Paid memberships are concluded for a minimum term of twelve (12) months from the date of subscription or activation and automatically renew for successive twelve (12) month periods unless terminated in accordance with the notice period. An upgrade to a higher membership tier (e.g., from Premium to Networking or Investors) is possible at any time with immediate effect and prorated billing; a downgrade takes effect at the end of the current billing period.
7. Cancellation Rights
Membership may be canceled via account settings or in writing to Club Management effective at the end of the respective annual term (or subject to a two-month notice period prior to expiry for bespoke agreements). Membership fees remain payable until the end of the active term; prorated refunds for ongoing periods are excluded.
8. Code of Conduct & Expulsion of Members
Upon admission, every member undertakes to comply with the Club Rules both on the digital platform and at physical events. Violations of the Club Rules—particularly unfair business practices, unsolicited mass or cold outreach (spam), abusive or disrespectful behavior, intentional damage to property at events, or unauthorized disclosure of confidential network information—may result in immediate account suspension ("Suspended"), removal from events, or extraordinary termination of membership without refund. Expelled members are prohibited from attending future Club events as guests.
9. Membership Fees & Payment Processing
Membership fees are due in advance according to the selected membership tier and are processed securely via our payment provider (Stripe). Members will be notified in advance of any changes to membership fees, which take effect at the start of the next renewal period. In the event of payment default, CAPITAL SOCIETY reserves the right to restrict platform and event access or terminate the membership.
10. Event Tickets, Bookings & Liability
Bookings for paid event tickets, VIP allocations, and on-site tabs at physical events are binding and must be settled in full on time or prior to departing the venue. Members are fully liable for all obligations and conduct of their invited guests.
11. Digital Member Access, Wallet & Credentials
Every member receives personal, password-protected platform credentials as well as digital event tickets or NFC/Wallet passes for gatherings. To gain admission to physical events, members must present their digital ticket or member pass at reception. Member accounts and digital passes are strictly personal and non-transferable. Sharing login credentials or personal passes with non-members is strictly prohibited and may result in immediate suspension or termination of membership. Members must inform Club Management immediately in the event of loss or suspected misuse of credentials.
12. Guests
Depending on their membership tier (or following a dedicated ticket inquiry and approval), members may register selected guests for CAPITAL SOCIETY events. Admission for guests is granted strictly upon prior registration, subject to capacity, and only in the personal presence of the inviting member. If the member leaves the event, their guests must also depart. Members are responsible for ensuring their guests comply with all Club Rules.
13. Age Requirement
CAPITAL SOCIETY is a club for adult decision-makers, entrepreneurs, and investors. Membership and attendance at networking and evening events require a minimum age of 18 years (21 years for selected gala and evening gatherings).
14. Animals & Outside Food at Events
At physical CAPITAL SOCIETY events, bringing animals—with the exception of certified assistance dogs or by prior arrangement with the respective venue—as well as bringing outside food and beverages is not permitted.
15. Dress Code
Our events take place at exclusive venues and in an elevated setting. We trust that our members and their guests will reflect this in their choice of attire (typically Business Attire, Smart Elegant, or Black Tie as specified in the event invitation). Casual items such as flip-flops, sportswear, ripped jeans, or similar attire are expressly unwelcome and may result in denied entry.
16. Mobile Phones & Digital Etiquette
During our physical events, keynotes, and networking sessions, members and guests are asked to keep mobile phones on silent mode and conduct phone calls discreetly in designated areas. Audio or video playback on mobile devices without headphones is not permitted in event spaces.
17. Photography, Audio & Video Recording
Discretion and privacy are cornerstones of CAPITAL SOCIETY. Members and guests are strictly prohibited from taking photographs, audio, or video recordings of other members or guests at events without their explicit consent. Taking or distributing screenshots of confidential member profiles, financial metrics, pitch decks, or private messages from the platform is equally prohibited.
18. Press, Social Media & Confidentiality
CAPITAL SOCIETY operates under a strict no-press policy. Members and their guests are prohibited from publicly disclosing or describing the presence or identity of other members or guests, private discussions, or confidential information regarding deals, projects, offers, private events, or fees via the press, social media (such as Instagram, LinkedIn, X, Facebook, TikTok), or personal blogs. Members may expect the same level of discretion and confidentiality from the management and staff of CAPITAL SOCIETY.
19. Privacy of Members & Deal-Flow Integrity
Members and guests must treat one another with respect and refrain from disturbing or pressuring others. Members listing projects, co-investments, or offers on the platform warrant the accuracy and lawfulness of their information. CAPITAL SOCIETY acts solely as a network and platform operator and does not provide investment, legal, tax, or financial brokerage services; all investment decisions and due diligence are conducted at the members' own responsibility and risk.
20. Illegal Substances, Items & Unlawful Content
Any use, possession, or distribution of illegal drugs, substances, or prohibited items at events, as well as posting unlawful or fraudulent content on the platform, is strictly prohibited. Any violation will result in immediate expulsion, termination of membership, and, where appropriate, notification of the relevant authorities.
21. Smoking, Quiet Enjoyment & Security at Events
Smoking (including e-cigarettes and vaping devices) is strictly prohibited indoors at all events and is only permitted in designated outdoor areas. When arriving at or departing from event venues, members and guests are asked to respect the peace of local residents. For security reasons, CCTV cameras operated by the respective venue may be in use.
22. Temporary Closures, Maintenance & Event Adjustments
CAPITAL SOCIETY may temporarily reserve event areas for private sessions, adjust event schedules, or place the digital platform in maintenance mode for necessary updates and security enhancements. Such measures do not constitute a failure of performance and do not entitle members to a reduction or refund of membership fees.
23. Membership Rights & Trademarks
A member is entitled to the privileges corresponding to their selected or granted membership tier; membership does not confer any ownership or equity rights in CAPITAL SOCIETY. The CAPITAL SOCIETY brand, logo (C$), colors, designs, photographs, and trade dress are the exclusive property of the operator and may not be used without prior written consent.
24. Data Protection & Liability
By applying for membership, you consent to the storage and processing of your submitted information, profile photograph, and preferences in accordance with our Privacy Charter. Contractual or non-contractual liability on the part of CAPITAL SOCIETY, its officers, employees, or agents is limited to intent and gross negligence (except for injury to life, body, or health in accordance with statutory provisions). CAPITAL SOCIETY assumes no liability for personal items brought to events or for the commercial outcome of investments or transactions initiated through the network.
25. Interpretation, Amendments, Governing Law & Contact
In the event of any dispute arising from the meaning or interpretation of these Club Rules regarding membership, the decision of the Committee or Club Management shall be final and binding. CAPITAL SOCIETY may amend these Club Rules from time to time by publishing the updated version on the website or platform. These rules are governed by Austrian law, with exclusive jurisdiction in Vienna, Austria. For questions regarding membership or these Club Rules, please contact Club Management at info@capitalsociety.io.
